Business Sale Process
Our 6-step process brings structure, transparency, and momentum to every stage of the journey.
We'll begin with an evaluation to gather important data and assess your business’s readiness for sale, including a market analysis and a preliminary valuation. Once the assessment is complete, we'll sign an engagement agreement and move on to the next step.
Our next step involves creating a comprehensive business review, preparing financials, and crafting a Confidential Information Memorandum and dataroom. We then create a target list of potential buyers and officially launch our marketing process.
As buyers express interest, we'll pre-screen buyers to ensure they're serious and financially capable of purchasing your business. We also manage the process with strict adherence to confidentiality, requiring that interested parties sign a non-disclosure agreement before accessing any information. We present all NDAs to you before we release any sensitive information about your business.
When a buyer decides to move forward with the acquisition, they will write up a formal offer which includes the purchase price, payment terms, timing, and other conditions. Our team will help you review, evaluate, and negotiate each offer, providing expert guidance to ensure that you make the best decision possible.
Once we select the top potential buyers, we will arrange meetings between us, you, and the prospective buyers. This is an excellent opportunity for you to share details about your business and answer any questions that the buyers may have. After this meeting, we'll also schedule a visit to your office and/or facilities to see the operations.
Following the buyer meetings, we will select a party to move forward with. We will negotiate the terms to get you the best deal possible and we will ultimately sign an LOI. The buyer will then complete their due diligence, and we'll negotiate legal agreements and prepare for closing. The transaction will officially close with the signing of the purchase agreement and receipt of funds.
